Terms of Service

These Terms of Service ("Terms") govern your use of SNDLater (the "Service"), operated by Enovative Enterprises LLC ("SNDLater," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

SNDLater lets you schedule SMS text messages to be sent at a later time through your own connected RingCentral account and phone number. SNDLater does not provide phone numbers or carrier connectivity; message transmission is performed by RingCentral and mobile carriers, and delivery is subject to their systems and availability.

2. Eligibility

You must be at least 18 years old, use the Service for lawful business purposes, and have a valid RingCentral account that you are authorized to connect. By using the Service you represent that you meet these requirements.

3. Your responsibilities

• Consent. You are solely responsible for obtaining any required consent from recipients before sending them messages, and for complying with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA guidelines, and carrier requirements (including A2P 10DLC registration).
• Message content and recipients. You are solely responsible for the content of your messages and for the recipients you choose. See our Messaging Policy.
• Account security. You are responsible for maintaining the security of your connected accounts and for all activity under your account.

4. Acceptable use

You agree not to use the Service to send messages that are unlawful, unsolicited (spam), harassing, deceptive, or that violate our Messaging Policy or the terms of RingCentral or any carrier. We may suspend or terminate accounts that violate these Terms.

5. Subscriptions, billing, and trials

• SNDLater is offered as a subscription at $6.95 per month (or an annual plan if offered), billed through Stripe.
• New accounts may include a free trial. If you do not cancel before the trial ends, your paid subscription begins automatically.
• Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period.
• Except where required by law, payments are non-refundable. Prices may change with reasonable notice.

6. Third-party services

The Service relies on RingCentral and Stripe. Your use of those services is governed by their respective terms and policies. We are not responsible for the acts, omissions, availability, or policies of third-party providers.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT MESSAGES WILL BE DELIVERED ON TIME OR AT ALL, AS DELIVERY DEPENDS ON RINGCENTRAL, CARRIERS, AND FACTORS OUTSIDE OUR CONTROL. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENOVATIVE ENTERPRISES LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Enovative Enterprises LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your messages, or your violation of these Terms, applicable law, or the rights of any third party.

10. Termination

You may stop using the Service and disconnect your account at any time. We may suspend or terminate your access if you violate these Terms or if required to protect the Service or others. Provisions that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Arizona for any dispute arising from these Terms or the Service.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, by notice within the app. Continued use after changes take effect constitutes acceptance.
